Terms of Service

These Terms explain how you may use Northbridge Market Research, what we provide, and the rules that apply to accounts, paid plans, and content. Please read them carefully. If you do not agree, do not use the website or services.

1. Acceptance and eligibility

By accessing or using the website located at northbridgemarketresearch.com (the "Site") or any related services we provide (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

You must be at least 18 years old to create an account or purchase a paid plan. If you are between 16 and 17 years old, you may browse the Site and use free resources only with the permission of a parent or legal guardian. The Services are not directed to children under 16.


2. Service description

Northbridge Market Research publishes educational market research, stock research frameworks, and portfolio organization tools. Examples include written market briefings, research checklists, portfolio tracking templates, and calculators that help you document decisions and risk parameters. Our Services are designed to help you organize information and improve your research process.

We do not provide personalized investment advice, do not act as a broker, do not execute trades, and do not manage client funds. Nothing on the Site constitutes a recommendation to buy or sell any security, nor should it be interpreted as financial, legal, or tax advice. You are responsible for your own decisions and for confirming whether any action is appropriate for your circumstances.

Some Services may be available through a subscription or one-time purchase described on the Pricing page. Any feature descriptions, plan names, and pricing are part of the Services description. We may add, remove, or change features over time as described in Section 16.


3. Accounts and security

If any portion of the Services requires an account, you agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us promptly of any unauthorized use of your account or suspected security breach. You may contact us through the Contact page or by email at [email protected].

Unless expressly permitted in writing, you may create only one account per person. We may suspend or terminate accounts that appear to be created for abuse, automated access, or to bypass plan limitations.


4. User obligations

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You must not misuse the Services or attempt to access them using a method other than the interface and instructions we provide.

You agree that you will not: (a) interfere with the operation of the Site; (b) attempt to gain unauthorized access to any systems or data; (c) use the Services to transmit malware; (d) impersonate any person or entity; or (e) use the Services to violate the rights of others.

If you provide feedback, suggestions, or ideas about the Services, you agree that we may use them without restriction or compensation, and you confirm that any feedback you provide does not include confidential or proprietary information from third parties.


5. Intellectual property

The Site and Services, including all content, templates, graphics, text, data compilations, design, and underlying code, are owned by Northbridge Market Research or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms and any applicable plan terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use (as applicable to the plan you purchase). This license does not permit you to reproduce, distribute, publicly display, sell, sublicense, or create derivative works from the Services except as expressly allowed in writing.

Northbridge Market Research, the Northbridge name, and associated logos are trademarks. You may not use them without our prior written permission.


6. Prohibited activities

You may not engage in activities that harm the Services, other users, or our business operations. Prohibited activities include, but are not limited to:

  • Scraping, crawling, or harvesting content or data from the Site using automated means without our prior written permission.
  • Reverse engineering, decompiling, or attempting to discover source code, algorithms, or underlying methods used by the Services.
  • Sharing login credentials, reselling access, or providing your paid access to others who are not authorized under your plan.
  • Uploading or transmitting malicious code, attempting to probe or scan vulnerabilities, or disrupting the Site’s functionality.
  • Using the Services for fraud, market manipulation, illegal promotion, or to violate securities laws or regulations applicable to you.
  • Sending spam or unsolicited promotional messages using information obtained from the Site.

We may investigate suspected violations and may suspend or terminate access as described in Section 15.


7. Pricing and payments

If you purchase a paid plan, you agree to pay the fees shown at the time of purchase. Pricing, billing frequency, and what is included are described on the Pricing page. Taxes may apply depending on your location.

Payments may be processed by third-party payment processors. We do not store full payment card details on our servers. Payment processing is subject to the processor’s terms, in addition to these Terms.

If a payment fails or is reversed, we may suspend access to paid features until payment is resolved. If you believe a charge is incorrect, contact us promptly using the details in Section 17 so we can review the issue.

Refunds, if any, are handled according to the refund terms presented at checkout or on the Pricing page. Unless required by law, we do not provide refunds for partial subscription periods, unused time, or user error.


8. Disclaimer of warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is complete, accurate, or up to date. Markets and data sources can change. You should independently verify any information before taking action.

Investing involves risk, including the possible loss of principal. Past performance, examples, or hypothetical scenarios do not predict future results. You are solely responsible for any decisions you make based on information from the Site.


9. Limitation of liability

To the maximum extent permitted by law, Northbridge Market Research and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, trading losses, or business interruption, arising out of or related to your use of (or inability to use) the Services.

To the maximum extent permitted by law, our total liability for direct damages arising out of or related to the Services will not exceed the lesser of (a) the amount you paid to us for the Services in the 12 months immediately preceding the event giving rise to the claim, or (b) €100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.


10. Indemnification

You agree to defend, indemnify, and hold harmless Northbridge Market Research and its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.


11. Third-party links and services

The Site may reference or link to third-party websites, tools, or resources for convenience (for example, data sources or definitions). We do not control those third parties and are not responsible for their content, availability, security, or practices.

Your use of third-party websites and services is at your own risk and subject to their terms and privacy policies. If you have concerns about a third-party link, you may notify us using the contact details in Section 17.


12. Privacy

Our Privacy Policy explains how we collect, use, share, and retain personal data, including data collected through forms, cookies, and analytics. The Privacy Policy is incorporated into these Terms by reference.

If you do not agree with the Privacy Policy, you should not use the Services. If you have questions or requests related to data, please contact us using the instructions on the Privacy page.


13. Governing law and jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or related to them will be governed by the laws of the State of New York, United States, without regard to conflict of laws principles.

Subject to Section 14 (Dispute resolution), you agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction to resolve any dispute or claim arising out of or related to these Terms or the Services, and you consent to personal jurisdiction in those courts.


14. Dispute resolution (informal first)

Before filing any legal action, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved within the 30-day period, either party may pursue a claim in the courts specified in Section 13. This informal process does not prevent either party from seeking immediate injunctive relief to protect intellectual property or prevent unauthorized access or misuse of the Services.


15. Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, pose a security risk, or are using the Services in a way that could expose us or others to legal or operational harm. Suspension or termination may occur with or without notice depending on the circumstances.

You may stop using the Services at any time. If you have a paid plan, you remain responsible for charges incurred up to the termination date, subject to any refund terms presented at checkout or on the Pricing page.

The following sections will survive termination: Intellectual property (Section 5), Prohibited activities (Section 6), Disclaimer (Section 8), Limitation of liability (Section 9), Indemnification (Section 10), Governing law and jurisdiction (Section 13), Dispute resolution (Section 14), and any other provisions that by their nature should survive.


16. Modifications to these Terms

We may update these Terms to reflect changes to the Services, legal requirements, or business practices. If we make changes, we will post the updated Terms on this page and revise the "Last Updated" date above.

Changes become effective 14 days after posting unless a shorter period is required by law or the update is necessary to address security or operational issues. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms.
